What changed in this version
  • First published version.

This Deployed OS Service Agreement (the "Agreement") applies when a customer (the "Customer") orders Deployed OS from Popoli AB, a Swedish company with registration number 559348-1509, operating under the brand Deployed AI ("Deployed"), by signing an order form that refers to this Agreement (an "Order Form").

1. Definitions#

1.1"Agreement Period" means a period as set out in section 11.1.

1.2"AI Tool" means an AI assistant or agent that a User connects to the Instance, such as Claude.

1.3"AI Provider" means the provider of an AI Tool.

1.4"Connector" means a connection between the Instance and a system that the Customer uses. Connectors are Standard, Advanced or Custom, as described in section 5.

1.5"Customer Content" means Skills, Guardrails, files and other content that the Customer or its Users add to the Instance.

1.6"Customer Data" means Customer Content and all other data that the Customer, its Users or its systems make available to the Service, including data passing through Connectors.

1.7"DPA" means Deployed's Data Processing Agreement for Deployed OS, in the version that the Order Form refers to, as updated under section 17.

1.8"Guardrails" means the rules that the Customer sets in the Instance for how AI Tools should act.

1.9"Instance" means the Customer's own workspace in the Service, including its company-specific MCP connection.

1.10"Plan" means the Team or Enterprise plan, as stated in the Order Form.

1.11"Service" means Deployed OS as described in section 2, together with any onboarding and Connectors set out in the Order Form.

1.12"Skill" means instructions, context and references packaged in the Instance for use by AI Tools.

1.13"Start Date" means the start date stated in the Order Form.

1.14"User" means a person who has been invited to the Instance, whatever their role.

2. The Service#

2.1Deployed OS is a platform for central control of AI context and access. The Customer gets its own Instance with a company-specific MCP connection that Users add to their AI Tool. In the Instance, the Customer controls which Skills, Connectors and Guardrails apply to which Users.

2.2All Plans include:

  • unlimited Skills and skill packages, with versions, feedback and usage per Skill;
  • teams, roles (Admin, Editor and Member) and access control;
  • Guardrails, set centrally and applied in each User's AI Tool;
  • all Standard Connectors;
  • a governance log of usage and access, with export;
  • sign-in with a Microsoft or Google account; and
  • hosting and data storage in the EU.

2.3The Enterprise Plan also includes:

  • several companies or business areas in one Instance;
  • access to Advanced and Custom Connectors, charged as stated in the Order Form;
  • single sign-on with the Customer's identity provider, such as Microsoft Entra ID or Okta;
  • the option of running the Service in the Customer's own cloud or on its own servers, charged as stated in the Order Form; and
  • a security review, and a service level agreement if one is agreed in the Order Form.

2.4The Service works with AI Tools that support the Model Context Protocol (MCP). Licences for AI Tools are not included. The Customer keeps its own agreements with, and pays, its AI Providers.

3. Order Form and precedence#

3.1The Order Form states the Plan, the fees, the Start Date, the Customer's reference person and any special terms.

3.2The contract between the parties consists of the Order Form, this Agreement and the DPA, in the versions that the Order Form refers to. If they conflict, they apply in this order: (a) the Order Form, (b) the DPA, as regards personal data, and (c) this Agreement.

3.3After the Order Form has been signed, the Customer may order additional onboarding and Connectors in writing, including by email. Deployed confirms each order in writing with its price, which is Deployed's list price unless Deployed has quoted another price. A confirmed order forms part of the Agreement and runs for the remainder of the current Agreement Period. Additional Users are added under section 4.

4. Users#

4.1Every person who has been invited to the Instance counts as a User, whatever their role.

4.2The platform fee is calculated on the number of Users, subject to the minimum monthly fee for the Plan stated in the Order Form. The minimum fee applies even if the number of Users is lower.

4.3The number of Users is checked at each invoice. Users who have been added are charged from the month in which they were added. Users who have been removed stop counting from the next invoicing period.

4.4Each User must have their own account on the Customer's domain. Shared accounts are not allowed, because usage and access are logged per person.

5. Connectors#

5.1Standard Connectors are ready-made connections to common work tools, such as email, calendar, files, chat, CRM and project tools. They are included in the platform fee.

5.2Advanced Connectors need more setup, for example connections to finance and ERP systems. Deployed configures the connection for the Customer's account, tests it with the Customer and sets stricter default rules, such as read-only access or confirmation before any change.

5.3Custom Connectors are built for systems that are specific to the Customer's business. Deployed builds, hosts and maintains them. Scope and price are confirmed in writing before work starts.

5.4The monthly fee for Advanced and Custom Connectors covers hosting, monitoring and maintenance when the connected system's interface (API) changes.

5.5The Customer decides which Connectors are switched on and what access each Connector has, such as read or write access. The Customer ensures that the Service has the access to the Customer's systems that is needed to deliver the Connectors.

5.6A Connector depends on the third-party system it connects to. Deployed is not responsible for changes, outages or limitations in those systems, but will work to restore a Connector that is affected by a change in the connected system within a reasonable time.

6. Onboarding#

6.1Onboarding, if set out in the Order Form, includes a kickoff with the people who will own the Instance at the Customer, setup of teams, roles and Guardrails, and the first Skills, built together with the Customer's people.

6.2Start onboarding is for a first team: Skills for the team's most common tasks, teams and rules in place, and trained admins.

6.3Extended onboarding is for more teams and roles: Skills per role and a follow-up after 30 days.

6.4The Customer may also set up the Instance itself, without onboarding.

7. Customer responsibilities and AI rules#

7.1The Customer appoints at least one admin and is responsible for which Users, roles and access rights exist in the Instance, including removing Users who should no longer have access.

7.2The Customer decides which Guardrails apply. Guardrails instruct AI Tools how to act, but an AI model cannot be guaranteed to always follow an instruction. What technically limits the actions that can be taken in a connected system is the access granted to the Connector.

7.3Access rights control what can be retrieved from the time they are changed. Content that a User has already retrieved into an AI Tool before their access was reduced may remain in that AI Tool.

7.4The Customer is responsible for reviewing the outputs and actions of AI Tools to the extent its business requires, and for using the Service in accordance with applicable law and its own policies.

7.5The Customer is responsible for its agreements with AI Providers and for the processing that takes place at each AI Provider.

7.6The Customer must not use the Service to break the law, to infringe the rights of others, or to try to gain unauthorised access to the Service or to other customers' data.

8. Customer Data, data protection and hosting#

8.1The Customer owns Customer Data.

8.2Deployed uses Customer Data only to provide the Service to the Customer. Deployed does not use Customer Data to train AI models and does not disclose Customer Data to other customers.

8.3Deployed may use usage statistics that contain no Customer Content and that do not identify the Customer, its Users or any other individual, such as the number of calls and performance data, to operate and improve the Service.

8.4The Service is hosted, and Customer Data is stored, in the EU, in the location stated on Deployed's Sub-processors page, unless the Order Form states otherwise.

8.5To the extent that Deployed processes personal data on the Customer's behalf, the DPA applies.

8.6For the Enterprise Plan, the parties may agree in the Order Form that the Service runs in the Customer's own cloud or on its own servers. The Customer then pays its hosting provider directly, and Deployed operates and updates the Service.

8.7Deployed's own processing of personal data as controller, such as contact details for contracts, invoicing and support, and the security of sign-in, is described in Deployed's Privacy Policy (getdeployed.ai/privacy).

9. Availability, support and development#

9.1Deployed provides the Service with high availability and gives advance notice of planned maintenance that affects Users.

9.2Deployed provides support by email, in English and Swedish, on Swedish business days, with a response within one (1) business day.

9.3Deployed develops the Service continuously. Features may change or be replaced, but a feature that is essential to the Customer's use of the Service will not be removed without at least three (3) months' written notice.

9.4A service level agreement for the Enterprise Plan may be agreed in the Order Form.

10. Fees, invoicing and payment#

10.1Fees are stated in the Order Form. Unless the Order Form states otherwise, fees are in Swedish kronor (SEK) and exclude VAT.

10.2Recurring fees are invoiced monthly in advance from the Start Date, unless the Order Form states otherwise.

10.3One-off fees, such as onboarding and Connector setup, are invoiced on the Start Date or when ordered.

10.4Payment is due thirty (30) days from the invoice date. Late payment interest is charged in accordance with the Swedish Interest Act (räntelagen (1975:635)).

10.5If an undisputed invoice is still unpaid thirty (30) days after its due date, Deployed may suspend access to the Service after giving ten (10) days' written notice. Fees continue to apply during a suspension.

10.6Deployed may change its list prices for a new Agreement Period by giving written notice at least three (3) months before the current Agreement Period ends.

11. Term and termination#

11.1The Agreement starts on the Start Date and runs for twelve (12) months. It then renews for twelve (12) months at a time, unless either party terminates it in writing at least three (3) months before the end of the current period. Each such period is an "Agreement Period".

11.2Either party may terminate the Agreement with immediate effect if the other party commits a material breach and has not remedied it within thirty (30) days of receiving written notice of the breach.

11.3Either party may terminate the Agreement with immediate effect if the other party is declared bankrupt, enters into liquidation or a composition with its creditors, or is otherwise insolvent.

11.4Fees paid in advance are not refunded when the Agreement ends under section 11.1. If the Customer terminates the Agreement under section 11.2 or 11.3 because of Deployed, Deployed refunds the fees paid in advance for the period after termination.

12. End of the Agreement and export#

12.1If the Customer asks within thirty (30) days after the Agreement ends, Deployed exports the Customer's Skills and Guardrails in a readable format.

12.2Users' access through the Instance closes when the Agreement ends. Customer Data is then deleted in accordance with the DPA.

13. Confidentiality#

13.1Each party undertakes not to disclose to any third party confidential information that it has received from the other party in connection with the Agreement, and to use such information only to perform the Agreement.

13.2"Confidential information" means information about either party's business, employees, customers, data, methods, tools and business relationships, in any form. It does not include information that is publicly available, that a party has received from a third party without a duty of confidentiality, or that a party must disclose by law or by order of a public authority.

13.3Each party may share confidential information with its employees, advisers and subcontractors who need it to perform the Agreement and who are bound by a duty of confidentiality at least as strict as this section.

13.4This section applies during the Agreement and for three (3) years after it ends.

14. Intellectual property and reference#

14.1Deployed owns the Service, its software and further development, and its methods, templates and frameworks. During the Agreement, the Customer has a non-exclusive and non-transferable right to use the Service in its own business and, if the Order Form says so, in the business of the group companies named in it.

14.2The Customer owns Customer Content, including Skills and Guardrails created specifically for the Customer.

14.3Deployed may use the Customer's feedback to improve the Service, without disclosing the Customer's confidential information.

14.4Deployed may name the Customer as a customer, unless the Order Form states otherwise.

15. Limitation of liability#

15.1Each party's total liability under the Agreement is limited to an amount equal to the fees the Customer has paid under the Agreement during the twelve (12) months before the event that caused the loss, but not less than SEK 50,000.

15.2Neither party is liable for indirect loss, such as loss of profit, revenue or data, or business interruption.

15.3The limitations in this section do not apply in case of intent or gross negligence.

15.4A claim must be made in writing within six (6) months after the party making it became aware, or should have become aware, of the circumstances giving rise to it.

16. Force majeure#

16.1A party is not liable for failing to perform an obligation if the failure is caused by circumstances beyond its control that it could not reasonably have foreseen when the Agreement was entered into, such as war, decisions by public authorities, extensive outages at providers of hosting or networks, or general labour disputes.

16.2The affected party must notify the other party without delay of such circumstances.

17. Versions and changes to this Agreement#

17.1Deployed publishes this Agreement at getdeployed.ai/legal/service-agreement. Every version has a version number, an effective date and its own permanent web address, and remains available after it has been replaced.

17.2An Order Form is governed by the version of this Agreement that it refers to.

17.3Deployed may publish a new version of this Agreement. The new version applies to an existing Customer from the start of the Customer's next Agreement Period, provided that Deployed has notified the Customer in writing at least three (3) months before that period starts. A Customer who does not accept the new version may, within thirty (30) days of the notice, terminate the Agreement to end at the end of the current Agreement Period.

17.4Changes required by law or by a public authority, and changes that do not reduce the Customer's rights, may apply from an earlier date, provided that Deployed has notified the Customer in writing at least thirty (30) days in advance.

17.5Any other change requires a written agreement signed by both parties, such as a new Order Form. Orders under section 3.3 and changes in the number of Users under section 4 do not require a signature.

18. Assignment and subcontractors#

18.1Neither party may assign the Agreement without the other party's written consent. Deployed may, however, assign the Agreement to a company in the same group as Deployed, or to a company that takes over the business conducted under the Deployed AI brand, by giving the Customer written notice.

18.2Deployed may use subcontractors and is responsible for them as for itself. Sub-processors of personal data are governed by the DPA.

19. Notices#

19.1Notices under the Agreement must be in writing and sent by email. Notices to the Customer are sent to the Customer's reference person stated in the Order Form, or to another address that the Customer has given in writing. Deployed's address for notices is poyan@getdeployed.ai.

19.2A notice sent by email is deemed received on the next business day after it was sent.

20. Entire agreement#

20.1The Order Form, this Agreement and the DPA, in the versions that the Order Form refers to, constitute the entire agreement between the parties regarding the Service and replace all earlier proposals and communications on the same subject.

21. Governing law and disputes#

21.1The Agreement is governed by Swedish law, excluding its conflict of law rules.

21.2Disputes are first to be resolved through negotiation between the parties. If that fails, disputes are settled by Swedish general courts, with the district court stated in the Order Form as the court of first instance, or the Stockholm District Court (Stockholms tingsrätt) if no court is stated.
